Terms of Use

1. About these Terms

These Terms of Use ("Terms") govern your access to and use of the Scan2Rate mobile application and related websites (collectively, the "Service") operated by Scan2Rate App ("Scan2Rate," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old, or the age of majority in your jurisdiction if higher, to use the Service. If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.

2. Your Account and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use or security breach. We may suspend or terminate your account if we suspect unauthorized or fraudulent activity.

3. Description of the Service

Scan2Rate allows users to:

Scan or look up product barcodes or identifiers; upload photos and other information about products; view photos, ratings, and reviews submitted by other users and selected partners; and save products to favourites or personal lists.

We may modify or discontinue any feature at any time without notice, provided that such changes do not materially reduce your rights under these Terms without appropriate notice.

4. User‑Generated Content (UGC)

4.1 Ownership of your content

As between you and us, you retain ownership of photos, text, ratings, reviews, product manuals, and other content you submit or upload to the Service (“User Content”).

By submitting User Content, you grant Scan2Rate a worldwide, perpetual, irrevocable, non‑exclusive, royalty‑free, transferable, and sublicensable license to use, host, store, reproduce, modify (for formatting, technical, or editorial purposes), adapt, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content, in any media now known or later developed, in connection with:

• operating, maintaining, and improving the Service;
• promoting the Service, including in emails, in‑app placements, websites, and marketing materials; and
• enabling third‑party integrations, APIs, or data feeds that display or make use of Scan2Rate content.

This license includes the right for us to make your User Content available to other Scan2Rate users and selected partners and to allow them to view, share, and interact with it through the Service. Because we may rely on your User Content to power product pages, datasets, and historical displays, this license continues even if you stop using the Service, to the extent reasonably necessary for backups, logs, integrity of product pages, and existing uses.

You acknowledge that we may store, copy, and redistribute User Content across multiple systems and regions (for example, through content delivery networks or backups) as part of normal operation of the Service.

You represent and warrant that:

• you own or control all rights in and to your User Content, or otherwise have all necessary rights to grant this license;
• your User Content does not infringe or violate any third‑party rights, including copyright, trademark, privacy, or publicity rights; and
• you have obtained any necessary consents from individuals who appear in your User Content.

You understand that, although you retain ownership, you cannot revoke this license for User Content that has already been used, shared, or relied upon in the Service or in our lawful downstream uses.

4.2 Prohibited content and conduct

You agree not to submit any User Content that:

• is false, misleading, or deceptive, including fake reviews or misrepresentations about products or brands;
• is defamatory, harassing, threatening, hateful, or otherwise unlawful;
• contains third‑party intellectual property (for example, professional product photos, catalog images, or logos) unless you have all necessary permissions;
• includes images of people who have not consented to appear, or exposes personal information (such as names, addresses, or payment data) without lawful authority;
• contains spam, advertising, or promotions not expressly authorized by us; or
• contains malware or code intended to disrupt or damage the Service.

You also agree not to interfere with or disrupt the Service or servers, attempt to scrape or bulk‑download content in violation of these Terms, or use the Service for any illegal, harmful, or competitive data‑harvesting purpose.

4.3 Our rights regarding User Content

We do not pre‑screen all User Content and are not obligated to do so, but we reserve the right (without obligation) to review, refuse, remove, de‑rank, or disable access to any User Content at any time at our sole discretion, including where we reasonably believe it violates these Terms, the law, or the rights of any person, or may harm the Service or our users.

We may preserve and disclose User Content and account information if required by law, legal process, or governmental request, or to protect the rights, property, or safety of Scan2Rate, our users, or others.

5. Partner and Sponsored Content

The Service may include content, videos, metadata, or product information submitted by commercial partners in exchange for placement, visibility, or other benefits ("Partner Content"). We will label such Partner Content (for example, as "Partner," "Sponsored," or similar).

Partner Content may link to third‑party platforms such as YouTube. We are not responsible for partner websites, videos, or practices, and your use of those services is governed by their own terms and policies.

6. No Medical, Nutrition, or Safety Advice

Information in the Service, including User Content and Partner Content, is provided for general informational purposes only and does not constitute professional nutrition, allergy, medical, or safety advice. Product ingredients and labels may change and may vary by region. Always check packaging yourself and consult qualified professionals regarding dietary or health decisions.

7. Disclaimers

The Service, including all content, is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement.

We do not guarantee that: product information, images, ratings, or reviews are accurate, complete, or current; the Service will be uninterrupted, secure, or error‑free; or particular results will be achieved through use of the Service.

User Content and Partner Content reflect the opinions and information of the respective submitters, not Scan2Rate. We do not endorse or guarantee any statements made in such content.

8. Limitation of Liability

To the maximum extent permitted by law, in no event will Scan2Rate, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to us, if any, during the six (6) months prior to the event giving rise to the claim, or (b) fifty Canadian dollars (CAD $50).

Some jurisdictions do not allow certain exclusions or limitations of liability; in such cases, these limitations apply only to the extent permitted by law.

9. Indemnity

You agree to indemnify, defend, and hold harmless Scan2Rate and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your use of, or activities in connection with, the Service; your User Content; or your violation of these Terms or of any rights of a third party.

10. Intellectual Property of Scan2Rate

The Service and all materials we provide (excluding User Content and Partner Content), including text, graphics, logos, icons, images, software, and trademarks, are owned by or licensed to Scan2Rate and are protected by copyright, trademark, and other laws.

You are granted a limited, non‑exclusive, non‑transferable, revocable license to use the Service solely for personal, non‑commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted.

11. Third‑Party Services

The Service may integrate with or link to third‑party services (e.g., sign‑in providers, analytics tools, advertising networks). Your use of such services is governed by their own terms and privacy policies. We are not responsible for third‑party services or their content.

12. Termination and Suspension

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any or no reason, including violation of these Terms or suspected fraudulent or unlawful activity.

Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination (including ownership, licenses, disclaimers, limitations of liability, and indemnity) will continue in effect.

You may stop using the Service at any time and may request account deletion as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where required by law, provide additional notice (e.g., in‑app notice or email). Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict‑of‑laws principles.

Any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, and you and we consent to personal jurisdiction and venue in those courts.
